Approval of Project Proposal:

1. Application to the district government by the local government, competent authorities or proxy of the project registration place (two originals)

2. Certificate of the registration, valid identification of legal representatives from all parties (individual foreign investors valid identification only) and certificate of creditworthiness of the foreign party (two copies)

3. Qualification of foreign investors shall be certificated by both notarization institutions of the country(region) they belong to and our legation or consulate in this country(region) (for investors from Hong Kong, Macao and Taiwan, certification from local notarization institution only) (two copies)

4. Notification of enterprise name approval (two copies)

5. Project proposal (one original, one copy)

6. Land use agreement (two copies)

Examination and Approval of the Contract, Articles of Association and Feasibility Study Report:

1. Application to the district government by the local government, competent authorities or proxy of the project registration place (two originals)

2. Feasibility study report with list of imported equipments edited by all of the parties (one original, one copy)

3. Contract and articles of association signed by represents of all parties (one original, one copy)

4. Recommendation on environmental assessment (two copies)

5. Rosters of directorate members and accreditation of directorate members of both Chinese and foreign parties (one original, one copy)

6．Recommendation on Site Selection of Construction Project by Planning Bureau Nanhui

7. Appraisal and confirmation of State Assets

8. Other documents required by the government

Procedures

1. The applicant makes the application for approval of the project proposal and submits the required documents at the stage of approval of project proposal to service window of NFERC in Investment & Service Center;

2. NFERC examines the documents submitted and jointly reviews the project with other economic departments of the district. A written reply to the project proposal or review recommendations will be provided to those projects in conformity with the requirements;

3. The corporation goes through the procedures of environmental assessment and planning site selection with the reply mentioned above;

4. The applicant submits the documents required at the stage of examination and approval of the feasibility study report. NFERC shall make a written reply permitting the establishment of the project if the project meets the requirements. Projects which surpass the examination and approval limitation of Nanhui District will be transmitted to Shanghai Foreign Investment Commission;

5. With the written reply, the applicant applies for an identification code by Shanghai Bureau of Technology Supervision and then obtains the approval certificate from NFERC.

Attention

1. Examination and approval limitation of Nanhui: projects in Kangqiao Industrial Zone with a total investment under 30 million USD in the encouraged or permitted list of the Industrial Catalogue for Guiding Foreign Investment of the State; projects in other towns and industrial zones with a total investment under 30 million USD in the encouraged list and those with a total investment under 10 million USD in the permitted list; projects surpassing the limitation or those that fall within the categories of restricted or special industries will be transmitted to Shanghai Foreign Investment Commission after first examination of NFERC.

2. The application for the establishment of a wholly foreign-funded enterprise is to be made by proxies with qualifications. The documents required should include the contract with the agency.

3. If there are documents in foreign languages in application materials, correct translations in Chinese should be provided together.

Procedures

1. The applicant submits the required documents to service window of NFERC in Investment & Service Center;

2. NFERC shall make a written reply permitting the establishment of the project if the project meets the requirements. Projects surpassing the limitation or those that fall within the categories of restricted or special industries will be transmitted to Shanghai Foreign Investment Commission;

3. With the written reply, the applicant applies for an identification code by Shanghai Bureau of Technology Supervision and then obtains the approval certificate from NFERC.
